Terms of Service

These terms govern your use of mial, including the marketing site at getmial.com and the web app. By creating an account or using the service, you agree to them.

The service

mial is operated by Bendwater Labs LLC ("we", "us", "our"). We provide software that helps you organize tasks, appointments, and notes about people. Some features run locally in your browser; others use cloud services that we operate.

Your account

You need an account to use the app. You're responsible for keeping your password secure and confidential, along with your recovery key if you set up encrypted sync. If you suspect your account has been compromised, contact hello@getmial.com right away.

mial is not directed to children under 13. You must be at least 13 years old (or the minimum age required in your country) to create an account. By creating an account, you confirm you meet this requirement. If you're under the age of legal majority where you live, you confirm a parent or guardian has agreed to these terms on your behalf.

Acceptable use

Don't use mial to do anything illegal, harmful, or harassing, and don't use it to:

• Send spam, malware, or phishing content
• Bypass our rate limits, scrape the service, or interfere with how it runs
• Reverse-engineer or attack our infrastructure or other accounts
• Resell, repackage, or pass off the service as your own
• Generate AI content designed to harass, deceive, or impersonate

We may suspend or terminate accounts that violate these rules.

Your content

You own what you put into mial. We don't claim any rights over your tasks, notes, or other content. You give us only the limited rights we need to host, display, and process your content so the service works (for example, sending your AI prompts through our proxy when you use AI features). Your content is never used to train general-purpose AI models, subject to the narrow safety exception described in our Privacy Policy.

Content about other people. Much of what you may store in mial is about other people. You are responsible for what you record about others, and you represent that you have the right to record it and that doing so does not violate any law or any obligation you owe to anyone.

AI output. As between you and us, output the AI features generate from your content belongs to you. AI output may be inaccurate, and similar output may be generated for other users.

Feedback. If you send us ideas or suggestions, we may use them to improve the service without obligation to you.

Subscriptions and billing

The free tier is available without payment. Paid plans are billed through our payment processor. Paid subscriptions renew automatically each billing period at the price and cadence shown at checkout, and charges continue until you cancel. Any discount applied at checkout is shown there before you pay.

You can cancel any time from inside the app or by emailing hello@getmial.com; cancellation takes effect at the end of the current billing period. We don't refund partial billing periods unless required by law. If a payment fails, we may retry it before downgrading your account.

We may change prices prospectively. If a change affects your active subscription, we will email you before it takes effect, and you can cancel before the new price applies.

Trial periods (when offered) convert to free unless you upgrade. You won't be charged at the end of a trial without explicit action.

AI features

Some features rely on third-party AI providers. AI output may be wrong, incomplete, or unsuitable for any specific purpose. Use judgment before acting on AI-generated suggestions, especially for anything time-sensitive, financial, medical, or legal. mial is not a substitute for professional advice.

mial is a personal organization tool, not a medical device or health service. It does not provide medical advice, diagnosis, or treatment. Anything you record about health topics is stored as you wrote it, for your own reference. We are not a HIPAA covered entity, and HIPAA does not apply to information you store here.

Service changes and availability

We can change features, add limits, or stop offering parts of the service over time. We'll give reasonable notice for material changes that affect your account. We aim for high availability but don't promise uninterrupted service.

Termination

You can stop using mial and delete your account at any time. We can suspend or close accounts that violate these terms or that we reasonably believe pose a security or legal risk. If we close your account, we'll tell you why and, unless the reason is fraud, abuse, or a legal or security risk that requires acting at once, give you a chance to export your data first.

Privacy

Our Privacy Policy explains what data we collect, how we use it, and the rights you have. Using the service means you agree to that policy.

Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, express or implied. We don't guarantee that the service will be error-free, secure against every attack, or fit for any particular purpose. To the fullest extent allowed by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent allowed by law, our total liability to you for any claim arising out of or related to the service is limited to the amount you paid us in the 12 months before the event giving rise to the claim, or $100, whichever is greater. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost data, lost profits, or substitute services, even if we were warned of the possibility.

Some jurisdictions don't allow these limits; in those places, the limits apply only to the extent permitted.

Indemnification

You agree to defend and indemnify Bendwater Labs LLC from claims arising out of your misuse of the service, your content, or your violation of these terms or the law.

Governing law and disputes

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts of competent jurisdiction in Wyoming, and you consent to that venue. Nothing here prevents either of us from seeking injunctive relief in any court of competent jurisdiction.

Talk to us first. Before filing any claim, you agree to email hello@getmial.com describing the issue and give us 30 days to try to resolve it informally.

No class actions. To the extent permitted by law, both of us agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding.

General

Severability. If any provision of these terms is found unenforceable, the rest remain in full effect.

Waiver. If we don't enforce a provision, that is not a waiver of our right to enforce it later.

Assignment. You may not assign these terms. We may assign them in connection with a merger, acquisition, or sale of assets, and will notify you if that happens.

Survival. Sections that by their nature should survive (Your content, Disclaimers, Limitation of liability, Indemnification, and Governing law and disputes) survive account closure.

Force majeure. Neither of us is liable for delay or failure caused by events beyond reasonable control, such as outages of underlying infrastructure, natural disasters, or acts of government.

Notices. We send notices to the email on your account. You can send notices to hello@getmial.com.

Entire agreement. These terms, together with the Privacy Policy, are the entire agreement between you and us about the service.

Changes to these terms

We may update these terms over time. If we make material changes, we'll update the date above, and we'll email account holders where we reasonably can before the changes take effect. Continued use after the effective date means you accept the updated terms.
